Supplier Code of Conduct
This code sets out what we expect from companies that supply us with goods or services. It supplements the contractual agreements and applies in addition to them. We expect our suppliers to pass these requirements on to their own upstream suppliers.
1. Compliance with the law
The supplier complies with all laws and official requirements applicable to it, including those governing labour, the environment, taxation, customs and foreign trade.
2. Human rights and working conditions
- No forced labour, no debt bondage, no retention of identity documents or deposits.
- No child labour. Compliance with national minimum age rules and with ILO Conventions 138 and 182.
- No discrimination, no harassment, no physical or psychological punishment.
- Remuneration and working hours at least in accordance with national law and applicable collective agreements.
- Recognition of freedom of association and the right to collective bargaining.
- Safe workplaces, risk assessment, provision of protective equipment, instruction of employees.
3. Environment
- Compliance with applicable environmental rules and permits.
- Proper handling of hazardous substances, waste and waste water.
- Avoidance of unnecessary use of resources and packaging.
4. Integrity
- No corruption, no bribery, no improper benefits to our employees.
- No anti-competitive agreements.
- Compliance with anti-money-laundering requirements.
- Confidential treatment of information arising from the business relationship.
5. Product conformity
- Goods supplied conform to the agreed specifications and to applicable European Union law.
- Declarations of conformity, markings, safety data sheets and instructions are provided in full and in the required language version.
- Information on substances of very high concern under Article 33 of Regulation (EC) No 1907/2006 is provided without being requested.
- Changes to composition, origin or place of manufacture are notified to us before delivery.
- No counterfeits, no unauthorised copies, no infringement of third-party intellectual property rights.
6. Conflict minerals
The supplier maintains appropriate due diligence processes for tin, tantalum, tungsten and gold, guided by the OECD Due Diligence Guidance. On request it provides a completed Conflict Minerals Reporting Template or an equivalent declaration. Further details are set out in our Conflict Minerals Statement.
7. Foreign trade and sanctions
The supplier notifies us without request of the customs tariff classification, the origin of the goods, any export control listing and the classification under Regulation (EU) 2021/821. It confirms that neither it nor its beneficial owners appear on the relevant sanctions lists.
8. Reporting and evidence
The supplier enables its employees to report breaches without having to fear disadvantage. On reasoned request it presents suitable evidence of compliance with this code.
9. Consequences of breaches
Where there are substantiated indications of a breach, we request a statement and remedial action within a reasonable period. If none is forthcoming, or where the breach is serious, we reserve the right to suspend orders and to terminate the business relationship.
10. Acceptance
This code is accepted by countersignature or by acceptance of our purchase orders. A signable version is available on request.
